By accessing or using the SYGNAL platform — including our mobile app, command web app, marketing website, and Source beacon hardware — you agree to be bound by these Terms of Service. If you do not agree, do not use our services.
License
SYGNAL grants you a non-exclusive, non-transferable license to use the platform in accordance with your subscription tier. Licenses are organization-wide and bound to one or more email domains as specified in your subscription. Your plan defines the maximum number of users who may be active at the same time. Trainer and partner accounts are governed by separate terms communicated during onboarding.
Acceptable Use
You agree to use SYGNAL only for lawful training and exercise purposes. You may not reverse engineer, decompile, distribute, sublicense, rent, or commercially exploit the software except as expressly permitted. You are responsible for all activity under your organization's account, including the conduct of users you invite, and for keeping credentials confidential.
User Representations
You represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal authority to enter into these Terms on behalf of yourself and any organization you represent; (c) all information you provide is accurate and current; (d) you will not use the platform in violation of any applicable law, regulation, or third-party right; and (e) you are not on any sanctions or denied-party list maintained by the United States, Canada, the United Kingdom, the European Union, or any other applicable jurisdiction.
User-Generated Content
You may upload or create content within SYGNAL — including training scenarios, after-action notes, custom hazard profiles, organization branding, and similar materials. You retain ownership of your content. By uploading, you grant SYGNAL a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and process your content solely as required to operate the platform. You are solely responsible for your content and represent that it does not violate any law or third-party right. SYGNAL does not pre-screen user content and is not responsible for its accuracy, suitability for any training purpose, or compliance with safety standards.
Training and Simulation Only
SYGNAL is a training, simulation, and educational platform. The platform displays simulated readings, simulated hazard zones, and simulated alarms — none of which represent real, calibrated measurements of any actual physical environment. SYGNAL is NOT a certified gas detection device, NOT approved for use in any actual emergency response or hazmat operation, and NOT a substitute for certified equipment, agency standard operating procedures, or professional judgment. Any decision made by a user, organization, or third party based on SYGNAL output during an actual incident is made entirely at the decision-maker's own risk and without involvement, support, or endorsement from SYGNAL. Reliance on SYGNAL output in actual emergencies is strictly prohibited under these Terms.
Subscriptions and Billing
Subscriptions are billed annually unless otherwise stated on your order. Plans renew automatically at the end of each billing period. You may cancel future renewals at any time, but refunds are not provided for partial subscription periods. Your license remains active until the end of the current billing period after cancellation. Hardware orders (Source beacons, SAM monitors, pump simulators) are governed separately by our shipping and return policies.
Hardware
SYGNAL hardware is sold under standard manufacturer warranty. Defective units may be returned per our return policy. SYGNAL is not responsible for damage caused by misuse, modification, exposure to environments outside specification, or use with non-SYGNAL software.
Intellectual Property
SYGNAL's software, hardware, simulation algorithms, and brand assets are the intellectual property of SYGNAL and its licensors. SYGNAL's simulation technology is patented. Customer-generated content (training scenarios, after-action notes, custom profiles) remains owned by you; you grant SYGNAL a limited license to host and process it as needed to deliver the service.
Disclaimer of Warranties
THE SYGNAL PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. SYGNAL DISCLAIMS ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. SYGNAL DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL CODE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYGNAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, DATA, USE, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF SYGNAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SYGNAL'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SYGNAL IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Assumption of Risk
You acknowledge that emergency response, hazardous materials operations, and live training exercises involve inherent risks of physical injury, equipment damage, and other harm. You voluntarily assume all such risks associated with your use of the SYGNAL platform and any related training activities. You are responsible for ensuring that all training activities are conducted under appropriate supervision, with appropriate safety equipment, and in compliance with applicable laws, regulations, and your organization's safety protocols.
Indemnification
You agree to indemnify, defend, and hold harmless SYGNAL, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the platform; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any decision made or action taken by you, your organization, or any third party in actual emergency response based on or referencing platform output.
Third-Party Services
SYGNAL relies on third-party service providers — including cloud infrastructure, payment processing, mapping, and communications providers — to deliver the platform. Your use of these third-party services may be subject to their own terms and privacy policies. SYGNAL is not responsible for the acts, omissions, content, or availability of any third-party service.
Privacy
Your use of the platform is also governed by our Privacy Policy, which describes what data we collect, how we use it, and your rights. By using SYGNAL you consent to the data practices described in the Privacy Policy.
Modifications to the Service
SYGNAL may modify, add, or remove features of the platform at any time, with or without notice. We aim to provide reasonable notice of material changes that adversely affect a documented workflow. SYGNAL is not liable for any impact resulting from changes to the service.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you through the app, by email, or by updating the "Last updated" date above. Your continued use of SYGNAL after the changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the platform.
DMCA / Copyright Complaints
If you believe content on SYGNAL infringes your copyright, please send a notice to support@sygnalapp.com identifying the copyrighted work, the allegedly infringing material, your contact information, and a statement made under penalty of perjury that you are authorized to act on behalf of the copyright owner.
Force Majeure
SYGNAL is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government action, public health emergencies, labor disputes, internet or utility outages, cloud-provider outages, and cybersecurity incidents originating outside SYGNAL's systems.
Severability and Entire Agreement
If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full effect. These Terms, together with the Privacy Policy and any order forms or addenda referencing them, constitute the entire agreement between you and SYGNAL regarding the platform and supersede all prior agreements on the same subject. Failure to enforce any right is not a waiver of that right. You may not assign these Terms without SYGNAL's written consent; SYGNAL may assign these Terms in connection with a merger, acquisition, or sale of substantially all assets.
Termination
We may suspend or terminate your access if you breach these Terms or use SYGNAL in a way that creates risk to other users or the platform. You may stop using SYGNAL at any time; cancellation does not entitle you to a partial refund unless required by law.
Governing Law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of laws principles. Disputes will be resolved in the courts located in Ontario, except where applicable consumer-protection law allows you to bring claims in your home jurisdiction.
